These Terms and Conditions (“Terms”) apply to all services provided by Bronia GmbH, Kieler Straße 303, 22525 Hamburg, Germany (“we”, “our”, “us”) to our clients (“you”, “your”). By using our services or accessing our website, you agree to be bound by these Terms.
Bronia GmbH provides inspection, maintenance, calibration, and distribution of safety equipment, with a focus on maritime safety technology. The exact scope of services will be defined in individual agreements or contracts with the client.
A binding contract between Bronia GmbH and the client is only formed when confirmed in writing by us. Quotes and offers are non-binding unless explicitly stated otherwise.
All prices are stated in euros (€) unless otherwise agreed.
Payments must be made within [30] days from the invoice date, without deduction.
In case of late payment, statutory interest rates will apply.
Clients must ensure that all necessary conditions for carrying out our services are met, including access to vessels, facilities, and safety documentation. Any delays caused by the client may result in additional charges.
We are liable for damages only in cases of intent or gross negligence.
In case of simple negligence, liability applies only for breach of essential contractual obligations (cardinal duties).
Liability for consequential damages, lost profits, or indirect losses is excluded, unless otherwise required by law.
We warrant that our services will be carried out with professional care and in accordance with industry standards. Any complaints must be reported to us in writing without undue delay.
All materials, documents, and content provided by us remain our intellectual property, unless otherwise agreed. Clients may not reproduce, distribute, or use such materials without prior written consent.
Personal data will be processed in accordance with applicable data protection laws (including the GDPR). Please refer to our Privacy Policy for further details.
These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction is Hamburg, unless mandatory law provides otherwise.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain unaffected.
